1. Applicability

These general terms and conditions apply to all offers, agreements, and activities of Bonico Horeca Consultancy, unless otherwise agreed in writing.


2. Formation of the agreement

An agreement is concluded upon written confirmation by Bonico Horeca Consultancy via email, quotation, or agreement.


3. Implementation

Bonico Horeca Consultancy executes assignments to the best of its knowledge and ability and in accordance with the requirements of good craftsmanship. Only a best-efforts obligation applies.


4. No guarantee of results

Bonico Horeca Consultancy provides no guarantees regarding achievable results, revenue, profit, or other business effects.


5. Client cooperation

The Client shall provide all necessary information in a timely manner. Delays or damages caused by incorrect or incomplete information shall be at the Client's expense.


6. Rates and payment

  • Invoices must be paid within 14 days.

  • 50% prepayment, unless otherwise agreed.

  • All prices exclude VAT.


    • 7. Absenteeism

    In the event of late payment, the Client shall be in default by operation of law. Statutory commercial interest and statutory collection costs shall be due.


    8. Suspension

    Bonico Horeca Consultancy may suspend its activities as long as the Client is in default.


    9. Cancellation

    In the event of premature termination by the Client, the hours already spent will be invoiced at the agreed rate.


    10. Liability

    The liability of Bonico Horeca Consultancy is limited to the amount paid out by its insurance. If no payment is made, liability is limited to the invoiced amount of the relevant assignment.

    Bonico Horeca Consultancy is never liable for indirect damage, consequential damage, or loss of profit.


    11. Intellectual property

    All advice, models, plans, and documents remain the property of Bonico Horeca Consultancy and may not be used or shared without written permission.


    12. Force Majeure

    In the event of force majeure, obligations are suspended for the duration of the force majeure.


    13. Applicable law

    Dutch law applies to all agreements.


    14. Disputes

    Disputes shall be submitted exclusively to the competent court in the district where Bonico Horeca Consultancy is established.


    15. Final provision

    If a provision proves to be void, the remaining provisions shall remain in full force and effect.
